This Terms and Conditions Agreement (the "Agreement") constitutes a legally binding agreement by and between NewZone Audio Ltd, a company registered in England and Wales, registration number 15170028, with its registered office at Bartle House, 9 Oxford Court, Manchester, England, M2 3WQ ("NewZone Audio," "we," "us," or "our"), and you, whether personally or on behalf of an entity ("Client," "you," or "your"), concerning your access to and use of the NewZone Audio website: newzone.audio (the "Website") and any audio post-production services, subscriptions, and related media forms or channels (collectively, the "Services").

By accessing our Website or subscribing to our Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Website and Services and must discontinue use immediately.

1. Intellectual Property Rights

2. Ownership of Materials and Deliverables

Client Materials:

The Client shall retain ownership of all intellectual property rights subsisting in any and all original audio files, video files, project notes, and other materials provided by the Client to NewZone Audio for the purpose of utilizing the Services ("Client Materials"). The Client warrants that any and all Client Materials provided to NewZone Audio are owned by the Client or that the Client has obtained all necessary licenses and permissions for their use and does not infringe on or misappropriate any third party's rights, including, but not limited to, all intellectual property rights and any right of publicity.

Deliverables:

All original audio post-production work, edited files, mixed tracks, mastered audio, and other final output created by NewZone Audio specifically for the Client as part of the Services ("Deliverables") shall belong to the Client. NewZone Audio hereby assigns to the Client all intellectual property rights subsisting in the Deliverables.

3. User Representations

By using the Website and Services, you represent and warrant that:

• You have the legal capacity and you agree to comply with these Terms and Conditions.
• You are not a minor in the jurisdiction in which you reside.
• You will not access the Website or Services through automated or non-human means, whether through a bot, script, or otherwise.
• You will not use the Website or Services for any illegal or unauthorized purpose.
• Your use of the Website and Services will not violate any applicable law or regulation in England and Wales or your local jurisdiction.

4. Subscription Terms, Fees, Payment, and Renewal

• Services: NewZone Audio offers audio post-production services through a subscription model as detailed on our Website.
• Fees: The Client agrees to pay the applicable fees for the subscribed Services as set forth on our Website. All fees are due in advance of service delivery for the respective subscription period.
• Subscription Renewal: Your subscription will automatically renew at the end of each subscription period for a subsequent equivalent period, at the then-current, non-promotional subscription rate, unless you cancel your subscription in accordance with the cancellation policy.
• Price Changes: NewZone Audio reserves the right to change subscription fees. Any price changes will apply to subsequent renewal periods and we will provide you with reasonable prior notice of any such changes.
• Taxes: All fees are inclusive of taxes unless otherwise stated. Where applicable, VAT will be added at the prevailing rate.

5. Cancellation and Refund Policy

Cancellation by Client: The Client may cancel their subscription at any time via their account dashboard on the Website or by contacting us directly. Cancellations will take effect at the end of the current paid subscription period.

Refunds: Due to the nature of productized services and resource allocation, refunds are generally not provided for partially used subscription periods. However, NewZone Audio may assess refund requests on a case-by-case basis.

6. Prohibited Activities

You may not access or use the Website or Services for any purpose other than that for which we make them available. As a user, you agree not to:

• Make any unauthorized use of the Website or Services
• Circumvent, disable, or otherwise interfere with security-related features of the Website
• Engage in unauthorized framing of or linking to the Website
• Trick, defraud, or mislead us and other users
• Interfere with, disrupt, or create an undue burden on the Website or the networks or services connected to the Website
